"$50,000 Home Makeover" Promotion
Official Rules

NO PURCHASE NECESSARY. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.

DATES: The "$50,000 Home Makeover" Promotion (the "Promotion") begins on June 15, 2011 and ends no later than January 23, 2012 (the "Promotion Period"), Grand Prize ("GP") portion of Promotion will end when GP winner is finally determined (if earlier than 1/23/12). Deadline for in-person entries is 12/31/11; mail-in entries must be postmarked by 1/2/12 and received by 1/10/12. Promotion is sponsored by DirectBuy, Inc., 8450 Broadway, Merrillville, IN 46410 ("Sponsor") and is facilitated by the Local DirectBuy Club identified at the end of these Official Rules ("Local DirectBuy Club"). A maximum of 200,000 game keys (each a "Key") and scratch-off cards (each a "Scratch-Off Card") will be distributed.

ELIGIBILITY: You are only eligible to participate in this Promotion if you are a legal resident of Canada and at least the age of majority in their province or territory of residence, your household has an annual gross income of at least $40,000, and you are a named addressee of a direct mailer from the Local DirectBuy Club or Sponsor. You are not eligible to participate if you or any household member (whether or not related) are current members of DirectBuy or UCC TotalHome. In addition, you are not eligible to participate if you are an employee of, or an immediate family member (parents, children, siblings or spouse) or household member (whether or not related) of any employee of Sponsor, the Local DirectBuy Club, or any of their franchisees, affiliates, contractors, consultants, legal counsel, public relations representatives, distributors, sales representatives, retailers, or website providers, webmasters, advertising or promotional, fulfillment, or marketing agencies, and any others engaged in the development, production, execution or distribution of the Promotion (each, a "Promotion Entity"). THE PROMOTION IS VOID OUTSIDE OF CANADA AND WHERE RESTRICTED OR PROHIBITED BY LAW. By participating, all entrants (each an "Entrant") agree to comply with these Official Rules.

LIABILITY WAIVER: By participating, all winners agree to release, discharge, indemnify and hold harmless Sponsor, Promotion Entities and their respective officers, directors, employees, representatives and agents from and against any claims made by winners, Entrants, or any other third parties, related in any way to the operation of the Promotion as well as any other claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of any prize or participation in the Promotion or in any Promotion-related activity.

HOW TO PARTICIPATE: There are two (2) ways to participate – limit one (1) play per household, regardless of method:

1. In Person at Local DirectBuy Club: Call the Local DirectBuy Club listed on the direct mailer you received to set up an appointment to attend a 90-minute presentation about our consumer purchasing service. Our members are able to purchase merchandise directly from manufacturers or suppliers at their confidential dealer prices. Membership prices range from $1,000 to $5,000, low and high membership prices vary per location. In order to play in person, you must attend the sales presentation and present valid government-issued photo identification. When you attend the presentation, you will receive a Key and Scratch-Off Card. If married or engaged, both husband and wife or engage couple must attend together. Limit 1 Key and Scratch-Off Card per married or engaged couple.

Grand Prize Play: To play for the Grand Prize, Entrant will be allowed 1 attempt to open the official Home Makeover Sweepstakes Game Lock ("the Lock") at the Local DirectBuy Club with the Key provided. No other key or special apparatus or assistance from an outside source will be permitted when the attempt is made. Any Key that breaks off inside the Lock or turns the Lock by breaking or damaging its lock mechanism shall be declared void and, if Sponsor determines that such event was not intentional or deliberate by Entrant, Sponsor may provide Entrant with 1 randomly selected replacement Key at Sponsor's sole discretion (while supplies last). Subject to verification of eligibility, the Entrant whose Key successfully opens the Lock will be declared the Grand Prize Winner. If your Key does not open the Lock, you may complete an entry form to be included in the Second Chance Drawing, which will be conducted if no winning Key is declared prior to 1/11/12. Please see below.

Scratch-Off Card: To play the scratch-off card, use a coin to remove scratch-off material from the silver circle on the Scratch-Off Card to reveal a four-digit number. Subject to verification of eligibility, if the four-digit number beneath the scratch-off area matches any of the 3 four-digit numbers posted at the Local DirectBuy Club (1 for each type of Bonus Prize), you will be a winner of the corresponding Bonus Prize. Liability for misprinted data/irregular/erroneous card is limited to the replacement with another randomly selected card (while supplies last).

2. Mail-In Without Attending: To play without attending the sales presentation, type or legibly hand-print a 3x5 card with the following information: Full Name, Address, City, State, Zip, Date of Birth, Phone Number, Email and Household Annual Gross Income, affix adequate postage, and mail the completed card to: "$50,000 Home Makeover (June 2011)" at the Local DirectBuy Club address below. All information must be included on card in order to participate. Mail-in entries must be postmarked by January 2, 2012 and received by January 10, 2012. Sponsor will play Key and Scratch-Off Card on behalf of each Entrant from whom Sponsor receives a properly completed and timely mail-in entry. Mail-in Entrants will be notified only if they are potential winners. Promotion Entities will not verify receipt of mail-in entries for Entrants. All entries submitted become the sole property of Sponsor and will not be returned or acknowledged. Sponsor is not responsible for lost, late, misdirected, mutilated, illegible, postage due or damaged mail-in entries or for any mail-in entries that for any reason are not received prior to the deadline stated above. Limit 1 mail-in entry per outer mail envelope. No group submissions will be accepted.

Any attempt by an Entrant to obtain more than the stated number of entries by using multiple/different addresses, identities, and/or any other methods will void that Entrant's entries and that Entrant may be disqualified from the Promotion. Sponsor reserves the right to disqualify those entries deemed to be inappropriate or in violation of the Promotion or these Official Rules in Sponsor's sole discretion.

SECOND CHANCE DRAWING: In the event that no Grand Prize winner is determined using the Key method above prior to the entry deadlines stated above, Sponsor will conduct a Second Chance Drawing on or about 1/23/12 for the Grand Prize only. All Entrants who complete a Second Chance Drawing entry form at the Local DirectBuy Club immediately following their unsuccessful attempt to unlock the Lock using their Key, as well as all mail-in Entrants, will be entered in the Second Chance Drawing. Subject to verification of eligibility, the Entrant whose entry is drawn during the Second Chance Drawing, if any is conducted, will be declared the Grand Prize Winner. Odds of winning a Grand Prize in Second Chance Drawing depend on total number of properly completed eligible entries received at all participating Local DirectBuy locations and by mail.

Promotion Entities will not verify receipt of Second Chance Drawing entries.

PRIZES/ODDS: Grand Prize ("GP") (1): A DirectBuy credit of up to $50,000 CDN in labor and materials to create a home makeover, of which no more than $20,000 CDN may be used towards labour. Odds: 1:200,000. Bonus Prizes ("BP") (3): The following three categories of BP's are available: Category #1 (1): 46" LCD HDTV. ARV: $1,299 CDN. Odds: 1:200,000. Category #2 (1): French Door Refrigerator. ARV: $1,599 CDN. Odds: 1: 200,000. Category #3 (5): $500 CDN Gift Card. ARV: $500 CDN. Odds: 1:200,000. Any unclaimed BPs will NOT be awarded. Total ARV of all prizes offered is $53,398 CDN.

PRIZE RESTRICTIONS: Prizes are not redeemable for cash and may not be sold, bartered or auctioned. Prizes may not be transferred or substituted except that Sponsor in its discretion may substitute a prize, or portion thereof, with a prize or portion of equal or greater value if it deems necessary or appropriate. Any portion of any prize not used by any winner is forfeit and no cash substitute will be offered or permitted. All prizes being offered are provided "as is" with no warranty or guarantee either express or implied by Sponsor. Merchandise prizes carry no warranty other than that offered by manufacturers. Sponsor has neither made nor is responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose. Other restrictions apply. Gift card prize may be subject to additional terms and conditions imposed by issuer. All details of all prizes shall be at Sponsor's sole discretion. Winners assume sole responsibility for all costs associated with the prizes not explicitly outlined above, including without limitation, fees, surcharges on a prize, delivery, set-up, installation, cable or satellite service, and upgrades.

NOTIFICATION/VERIFICATION OF WINNERS: Any potential winners who are not notified of their prize at the Local DirectBuy Club will be contacted by Sponsor in accordance with the information supplied to Sponsor by Entrants. All potential winners will be notified by registered mail in which potential winner will be required to provide Sponsor with valid government-issued photo identification showing name and address and must correctly answer a mathematical skill testing question, unaided (by electronic or mechanical or otherwise) prior to awarding a prize. Incorrectly answered mathematical skill testing question will disqualify that Entrant from the Promotion. Potential Winner must also execute an Affidavit of Eligibility, Release of Liability, ("the Paperwork"), and return the Paperwork within 7 days from the date of notification. Faxes will not be accepted. Winners may also be required to sign other legal documents, including tax forms and a release supplied by Sponsor that, among other things, releases Promotion Entities and a range of subsidiaries, directors, agents, agencies, affiliates, franchisees, promoters, officers, directors, employees and related persons from any and all liability related to this Promotion and the receipt and use of any prize. Prizes will be awarded in the name of Entrant, subject to applicable laws. Upon verification of eligibility, the names of winners may be posted on Sponsor's website at www.makeoverrules.com or such other site as Sponsor may select, in Sponsor's sole discretion. Please allow 14 days from date of verification of eligibility for shipment of Bonus Prizes.

All prize claims are subject to verification by Sponsor. Only original Keys and Scratch-Off Cards obtained via authorized, legitimate channels (i.e., directly from Sponsor or Local DirectBuy Club). No copies or mechanical reproductions will be accepted. Any Scratch-Off Cards or Keys that are damaged, incomplete, illegible, altered, modified, that appear to have been tampered with, or that contain printing or other errors or irregularities of any kind are void. Both the winning Key and the Lock it successfully opens must be verified by Sponsor as the winning Key and Lock by identifying the special markings known only to the Sponsor's production agent. Potentially winning Scratch-Off Cards and Keys must be surrendered to Sponsor for validation, will become the property of Sponsor and will not be returned.

In the event that the prize or prize notification is returned as undeliverable, or in the event that a potential winner (a) fails to satisfy any eligibility or verification requirement herein, (b) declines to accept the prize, (c) or is otherwise determined to be ineligible, Sponsor in its discretion may disqualify that individual. If a potential Grand Prize Winner is disqualified, the Grand Prize will be awarded through the Second Chance Drawing described above on or about January 23, 2012 or, if the Grand Prize Winner is disqualified thereafter, a subsequent Second Chance Drawing will be held as soon as reasonably practicable after such potential Grand Prize Winner is disqualified. Any potential Grand Prize Winner through the Second Chance Drawing remains subject to all eligibility requirements and restrictions of these Official Rules. If a Bonus Prize Winner is disqualified, his/her Bonus Prize will not be awarded.

PUBLICITY RELEASE: Except where prohibited by law, acceptance of a prize constitutes winner's permission for the Promotion Entities to use said winner's name, photograph, likeness, statements, biographical information, voice and details of winning on a worldwide basis, and in all forms of media, in perpetuity, without further compensation, for purposes of this and future promotions.

MISCELLANEOUS: Sponsor reserves the right to correct typographical or clerical errors in any promotion-related materials. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons, including the printing or duplication errors involving the Keys or Scratch-Off Cards, cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing from among all legitimate, un-awarded, eligible prize claims.

Sponsor reserves the right to cancel, terminate or suspend this Promotion or any part of this Promotion should any non-authorized intervention, network failure, information storage failure, telecommunications failure, malfunction, or other causes beyond its control, corrupt or impair the security, administration, fairness and/or operation of this Promotion as determined by Sponsor in its sole discretion, at which time, Sponsor will conduct a random drawing to select the Grand Prize Winner from among all non-suspect entries received at the time of the Promotion cancellation, termination or suspension.

Sponsor reserves the right to prohibit any Entrant or person from participating in the Promotion if, at its sole discretion, Sponsor finds such individual to be tampering with the entry process or the operation of the Promotion, or if such individual repeatedly shows a disregard for, or attempts to circumvent, these Official Rules, or acts: (a) in a manner Sponsor determines to be not fair or equitable; (b) with an intent to annoy, threaten or harass any other Entrant or Sponsor or any Promotion Entity; or (c) in any other disruptive manner. Any person attempting to defraud or tamper with this Promotion in any way will be ineligible for prizes and may be prosecuted to the full extent of the law. Tampering includes attempting to enter more than the number of entries permitted by these Official Rules, cheating, deceiving, or otherwise engaging in practices Sponsor deems to be prohibited or unfair (including the use of automated quick entry programs). Any failure by the Sponsor to enforce any of these Official Rules shall not constitute a waiver of such Official Rules. CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS' FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING WITHOUT LIMITATION CRIMINAL PROSECUTION.

If for any reason this Promotion is not capable of being implemented as planned in Quebec, Sponsor reserves the right, subject to approval of the Régie, to terminate, modify or suspend this Promotion. You further agree that all claims, disputes, and causes of action ("Claims") arising out of or relating to these Official Rules and/or this Promotion shall be resolved individually, through binding arbitration, and without resort to any form of class action and that all such Claims shall be governed by, and construed in accordance with, the laws of British Columbia, without regard to conflicts of laws rules or provisions, unless you are a resident of Quebec. Quebec residents are specifically excluded from the present arbitration clause. In the case of Quebec residents, any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement.

All activity arising out of and relating to the Promotion is subject to verification and/or auditing for compliance with the Official Rules and you agree to cooperate with Sponsor concerning verification and/or auditing. All references to an Entrant's status as a "winner" are subject to verification and/or auditing by Sponsor. If verification activity or an audit evidences non-compliance of an entry or Entrant with the Official Rules as determined by Sponsor in its sole discretion, Sponsor reserves the right to disqualify the Entrant and remove the entry from the Promotion at any time.

GENERAL CONDITIONS: This Promotion shall be governed by and construed in accordance with the applicable laws of Canada, without regard to its conflict of law's provisions. By participating, Entrants consent to the jurisdiction of the courts of Toronto, Ontario as well as legal proceedings in those courts.

By participating, Entrants and their participating entities agree to be bound by these Official Rules and decisions of the Sponsor and/or Local DirectBuy Club, which are final and binding. Entrants further agree that: (a) any disputes, claims, and causes of action arising out of or connected with the Promotion, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Promotion, but in no event attorneys' fees; and (c) under no circumstances will any Entrant be permitted to obtain any award for, and Entrant hereby waives all rights to claim punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses. Some jurisdictions do not allow for limitations on the ability to pursue class action remedies, or certain kinds of damages, and so these limitations may not apply to you. Neither Sponsor nor any Promotion Entity is responsible for lost, late, misdirected, undeliverable, illegible, or incomplete entries at any stage of the Promotion. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrants, DirectBuy, Inc., and any Local DirectBuy Club in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Indiana, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than the State of Indiana. Any legal proceedings arising out of this Promotion or relating to these Official Rules shall be instituted only in the State of Indiana, and Entrants consent to exclusive jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to this Promotion or these Official Rules. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

If married or engaged and attending the presentation, Sponsor requires that both husband (or fiancé) and wife (or fiancé) attend together a 90-minute presentation about our consumer purchasing service. Members are able to purchase merchandise directly from manufacturers or suppliers at their confidential dealer prices. To play without attending the presentation, mail-in a 3x5 card with your full name and physical address, date of birth, phone number, email and total annual gross incometo the Local DirectBuy Club at address below, to be postmarked by 1/2/12 and received by 1/11/12. Local DirectBuy Club will play the scratch off card and try your key to open the lock on your behalf. Sponsor will contact you by mail only if you are a potential winner of a prize.

ELIGIBILITY: Open only to named addressees who were sent a direct mail piece from the Local DirectBuy Club or Sponsor who are 21 or older and legal residents of the 48 contiguous United States and DC and have a total annual gross income at or above $40,000. Limit 1 play per household. Current members of DirectBuy or UCC TotalHome, previous winners or Open House attendees, and employees of DirectBuy or Local DirectBuy Club are ineligible.

TO PLAY AT LOCAL DIRECTBUY LOCATION: Attend a sales presentation at Local DirectBuy Club at address below by 12/30/11 to receive your key and scratch off card. Attendance at sales presentation required to play in-person. A driver's license and major credit card or check book are required for identification purposes to attend presentation. Make 1 attempt to open the lock. If your key opens the lock, you are a potential Grand Prize Winner. Remove scratch-off material from the silver scratch area to reveal a four-digit number. If your four-digit number matches the four-digit number posted at the Local DirectBuy Club, you are a potential Bonus Prize winner.

GRAND PRIZE ("GP"): (1) GP of a $50,000 DirectBuy credit to be used toward labor and materials to create a home makeover through DirectBuy will be awarded. Of the $50,000 GP to be awarded, a maximum value of $20,000 may be used toward labor. Restrictions apply. Not exchangeable/redeemable for cash unless at Sponsor's sole discretion. Only 1 GP will be awarded. A maximum of 500,000 cards will be distributed. Odds of winning GP: 1:500,000. BONUS PRIZES ("BP"): BPs will be awarded within 14 days of verification of eligibility. BPs: Mitsubishi* 60" 3D ready DLP Home Cinema TV. ARV: $999. Odds of winning: 1:50,000; GE* French Door Refrigerator. ARV: $1,299. Odds of winning: 1:50,000; American Express* gift card. ARV: $500. Odds of winning: 1:50,000. 10 of each BP are available to be won. Total ARV of BPs: $27,980. Potential winners will be required to sign an affidavit of eligibility/liability and publicity release (where legal) and W-9 form within 7 days of notification or prize will be forfeited and, with respect to GP only, awarded via Second Chance Drawing (see below).

PRIZE RESTRICTIONS: All prize claim awards are subject to verification by Sponsor. Unclaimed BPs will NOT be awarded. Cards/keys may only be obtained via authorized, legitimate channels (i.e., directly from Sponsor or Local DirectBuy Club). Any tampering or reproduction of the card/key, damaged or illegible cards/keys, or cards/keys that contain errors or irregularities of any kind are void and ineligible. All cards/ keys submitted for validation become property of the Sponsor and will not be returned. Keys that may break off inside the lock or turn the lock by breaking the lock mechanism are deemed not to be the winning key and a randomly selected replacement key may be issued at Sponsor's sole discretion (while supplies last). The winning key and the lock it fits must be verified by Sponsor as the winning key and lock by identifying the special markings known only to the Sponsor's production agent. No special apparatus or assistance from an outside source may be used when the attempt is made. If for any reason, including, without limitation, a duplication of the prize-winning key/card or other error occurs, and more prizes are claimed in a prize category than the number set forth in these Official Rules, Sponsor reserves the right to award the prize(s) (not previously awarded) in a random drawing from among eligible entrants claiming the prize(s) in that prize category. In no event will more than the quantities of prizes as indicated in these Official Rules be awarded. If GP is not awarded during the Promotion, GP will be awarded in a Second Chance Drawing on or about 1/23/12 to be conducted by Sponsor. Second Chance Drawing to consist of all eligible entrants from all participating Local DirectBuy Clubs and mail-in entries. Odds of winning a GP in Second Chance Drawing depend on number of eligible entrants who participated at a Local DirectBuy Club and by mail.

GENERAL: By participating and accepting prize(s), Prize winner agrees to allow use of his/her name and likeness for advertising, trade and promotional purposes without additional compensation in all media worldwide, except where prohibited by law. Sponsor is not responsible for incomplete, lost, late, misdirected, previously scratched, damaged, destroyed, delayed keys/cards, postage due mail, or irregularities and errors of any kind with keys/cards. No prize substitution or cash equivalent will be awarded, except as provided herein or at the sole discretion of Sponsor if an advertised prize becomes unavailable for any reason. . Prizes are NOT transferable. All expenses not mentioned and all applicable taxes are the sole responsibility of winners. Gift card BP is subject to any additional terms or conditions imposed by issuer. By participating, persons agree to: (1) release Sponsor, Local DirectBuy Club, and their affiliates, subsidiaries and agents, and employees, officers, shareholders, representatives, assigns, successors and directors of each from all liability, injuries, loss and/or damage of any kind arising from their participation in the Promotion and the acceptance, possession, use and/or misuse of any prize; and (2) be bound by these Official Rules and decisions of the Sponsor and/or Local DirectBuy Club, which are final and binding. Entrants further agree that: (a) any disputes, claims, and causes of action arising out of or connected with the Promotion, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Promotion, but in no event attorneys' fees; and (c) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses.
